Terms of service

1.1. Introduction 

These Terms and Conditions govern the provision of scenting consultancy & services (hereinafter “Services”), automated diffuser machines/systems (hereinafter "Machines"), and fragrance materials, reed diffusers, fabric/room freshener sprays (hereinafter "Products") by Scentfolio Works (OPC) Private Limited, located at 604, Iris Shopping, Hiranandani Meadows, Manpada, Thane (West), 400610, Maharashtra, India (hereinafter "Company," "we," "us," or "our") to our business clients (hereinafter "Client," "you," or "your"). Our services are primarily accessible through our website www.scentfolio.in ("Website").

1.2. Intellectual Property

 "SCENTFOLIO" is a registered trademark and owned by Mr. Kiran Limaye. SCENT ATMOS(TM) is under trademark registration process and is owned by Mr. Kiran Limaye. All intellectual property rights associated with our Products, and Services, including but not limited to design, technology, data, content and fragrance formulations, are the exclusive property of the Company. Unauthorized use, re-production, or reverse engineering is strictly prohibited.

1.3. Governing Law and Jurisdiction 

These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts at Thane, Maharashtra, India.

1.4. Pricing and Payment

  • All prices for Machines, Products, and Services will be provided in a formal quotation or as listed on our Website for direct purchases.

  • Prices are subject to change without prior notice, but changes will not affect orders already confirmed and dispatched.

  • In case of pricing errors, we will inform you as soon as possible. If we cannot contact you, the order will be treated as canceled, and any payment made will be fully refunded.

  • Payment terms will be specified in the quotation or invoice. Late payments may incur interest charges as per mutually agreed terms.

1.5. Product Usage and Service Scope

  • Our Machines, such as the SCENT ATMOSTM line, are designed for use in personal and commercial environments as agreed upon.

  • Our Products, such as reed diffuser, fabric/room freshener sprays, are designed for personal environments only i.e home, office cabin. These products should not be used in medium to large commercial environments.

  • The Client is responsible for ensuring the Machines are used in accordance with our guidelines and not in environments for which they are not suited (e.g., excessively large or unsuitable industrial spaces not covered in the service agreement), which may void the warranty or affect performance.

  • Specific coverage areas are estimates and can be affected by environmental factors like room layout, ventilation, humidity, and temperature.

  • Detailed scope of services, including specific environment suitability, installation, maintenance schedules (if applicable), and any service level commitments, will be outlined in a separate Service Agreement or Sales Contract executed between the Company and the Client.

1.6. Air Diffusion Technology 

Our Machines utilize specialized air diffusion technology (i.e. cold air diffusion). This technology uses pressurized, filtered air (nebulization) to break fragrance oils into an ultra-fine, dry mist, dispersing them evenly without heat or water, preserving oil integrity for a pure, potent, residue-free scent in large areas. 

1.7. Fragrance Use and Safety

  • We are committed to using high-quality ingredients in our fragrances, solvents and certain chemicals to enhance the fragrance diffusion. However, individual sensitivities to scents can vary.

  • For retail (D2C) products, Clients should be mindful of their individual sensitivities or allergies within their environment when using these items. We suggest testing fragrances in a small space if there are any concerns.

  • The Company is not liable for allergic reactions or sensitivities if products are used contrary to agreed guidelines.

  • Our Machines offer customizable scent intensity. It is advisable to start at a lower intensity and adjust as needed. The Company is not liable for discomfort arising from prolonged exposure to inappropriately high scent intensity levels not recommended by us.

  • For optimal performance and to prevent damage, we strongly recommend using only Company-approved, customized fragrances in our Machines. The Company will not be held responsible for any damage resulting from the use of incompatible or non-Company-approved scents, oils, or liquids.

1.8. User Responsibility 

Clients are responsible for operating the Machines safely and in accordance with the user manual and any instructions provided by the Company. Failure to do so may result in damage or injury, for which the Company will not be liable.

1.9. Shipping and Delivery

  • We may use third-party shipping services. While we facilitate the process, we are not responsible for damage or loss during transit once the goods have been handed over to the carrier. We will, however, provide reasonable assistance in escalating issues with the courier/shipping partner.

  • Delivery timelines are estimates and may be affected by unforeseen circumstances. We will endeavor to communicate any significant delays.

1.10. Indemnification

By using our Machines, Products, and services, the Client agrees to indemnify, defend, and hold harmless Scentfolio Works (OPC) Private Limited, its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with -

(i) the Client's use or misuse of the Machines or Products contrary to Company guidelines or agreed terms; 

(ii) the Client's failure to follow instructions; 

(iii) any breach of these terms by the Client; or 

(iv) any negligent act or omission by the Client or its employees/agents related to the services or products.

2. Warranty Information - Automated Diffuser Machines

2.1. Limited Warranty

Our automated scent diffuser machines (e.g., SCENT ATMOS range) are covered by a limited warranty for a period of one (1) year from the original date of purchase by the Client. This warranty is non-transferable.

2.2. What is Covered

  • Defects in materials used in the machine's construction.

  • Defects in workmanship affecting the machine's functionality.

  • Malfunctions due to faulty components under normal use and service as per our guidelines.

2.3. What is Not Covered

  • Damage from accidents, misuse, abuse, neglect, or improper handling.

  • Damage from alterations, modifications, or unauthorized repairs.

  • Damage from improper installation, maintenance, or cleaning not in line with Company guidelines.

  • Damage from using incompatible or non-Company-approved scents, oils, or liquids.

  • Damage from power surges, electrical faults, or natural disasters.

  • Normal wear and tear of parts explicitly designated as 'consumable' in the product documentation or service agreement (e.g., fragrance cartridges, specific types of filters, wicks). A list of consumable parts for each Machine model will be provided in its accompanying user manual or service agreement.

  • Machines purchased from unauthorized resellers.

  • Issues arising from use outside the agreed-upon operational parameters or environments.

2.4. Filing a Warranty Claim

  1. Contact Us: Notify Scentfolio Customer Service via [Your Customer Service Email] or [Your Customer Service Phone Number].

  2. Proof of Purchase: Provide a copy of the original invoice or order confirmation.

  3. Describe Defect: Clearly explain the issue with the machine.

  4. Return Authorization: If the claim is preliminarily approved, we will issue a Return Merchandise Authorization (RMA) number and return instructions.

  5. Shipping: The Client is responsible for securely packing and shipping the machine to the address provided, with the RMA number clearly marked. Shipping costs for returning the machine to the Company for warranty assessment shall be borne by the Client. If the warranty claim is validated, the Company will bear the cost of shipping the repaired or replacement machine back to the Client. If the claim is not validated, the Client will also be responsible for the return shipping costs of the original unit.

2.5. Repair or Replacement

Upon receipt and inspection, if the defect is covered by this warranty, the Company will, at its discretion, repair or replace the machine with a new or refurbished unit of comparable function.

2.6. Warranty Void Conditions

The warranty will be void if:

  • The machine has been opened, tampered with, or serviced by unauthorized personnel.

  • The machine's serial number is altered, defaced, or removed.

  • The machine has been used in a manner inconsistent with provided instructions or for unapproved applications.

2.7. Limitation of Liability

The Company's liability under this warranty is strictly limited to the repair or replacement of the defective machine. We are not liable for any incidental or consequential damages arising from the use or inability to use the machine.

2.8. Disclaimer

This warranty is the sole and exclusive warranty provided. All other warranties, expressed or implied, including merchantability or fitness for a particular purpose, are disclaimed.
